Please see a statement from the WABA Chairman below.

“Following an extensive review of WABA Articles conducted by the WABA Ltd Governance Director, the WABA Ltd Chairman and an external consultant, the Board of WABA Ltd proposes a number of changes to WABA Ltd Articles. There are a total of 24 proposed Article Changes needed to bring the Articles into line with current legislation, WABA Ltd Board principles and Governance and Leadership Framework Guidance. WABA proposes that they are dealt with as ONE Special Resolution for agreement. This will avoid the situation where some changes do not achieve 75% voting for the change and therefore adversely impact on other changes which are needed for legal and future operational needs of WABA Ltd.

We have received some feedback suggesting that we have NO RIGHT TO FORCE CLUBS TO VOTE! WE ABSOLUTELY AGREE.  THIS IS NOT AND NEVER WAS OUR INTENTION. The Proxy Voting Form is simply a means of allowing Clubs who are unable to attend AGMs in person (the ideal scenario) to have their say in the affairs of WABA. As a LIMITED COMPANY we have a LEGAL REQUIREMENT TO DO THIS and this is now simply reflected in our MEMBERSHIP REGULATIONS to reflect this.

Unfortunately, our Proxy Voting Form only provided TWO OPTIONS – FOR AND AGAINST. This form has been used for the past 7 years but should ALWAYS have contained a third option to abstain. The current Board has acknowledged this requirement and as a result, an AMENDED form is attached.

IT IS REALLY VITAL THAT THIS PROPOSAL IS ADOPTED BY OUR MEMBERSHIP AS IT CONTAINS CHANGES WHICH ENABLE WABA TO PROPERLY FUNCTION IN ACCORDANCE WITH ITS LEGAL REQUIREMENTS AND ENABLES IT TO GROW TO ENSURE INCREASED BENEFITS FOR OUR MEMBERS. PLEASE, PLEASE, PLEASE SEND IN YOUR ‘FOR’ VOTE.
